Terms of Service

1. Service Description

AgentProof ("the Service") is operated by DHU LABS LLC ("DHU Labs"). The Service evaluates business ideas, job roles, services, and processes against AI agent replaceability, providing analysis and scoring across multiple dimensions.

2. Account Terms

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service.

3. Acceptable Use

You may use the Service for lawful business evaluation purposes. You may not: attempt to reverse-engineer the evaluation methodology, use automated tools to submit bulk evaluations without authorization, or share account credentials with unauthorized parties.

4. Content You Submit

You may submit only material you have the right to share for this purpose, including any pitch decks or documents belonging to others. You are responsible for complying with any confidentiality obligations that apply to that material. You agree to indemnify DHU LABS LLC against claims arising from content you submit without that right.

5. Intellectual Property

You retain all rights to the content you submit for evaluation (pitch decks, text descriptions, documents). DHU Labs retains rights to the evaluation methodology, scoring framework, and analysis output format. Evaluation results are provided for your use and may be shared at your discretion.

6. Payments and Credits

Credits are purchased in advance and used one per evaluation. Unused credits do not expire. Within 14 days of a purchase, you may request a refund for credits from that purchase you have not used by writing to support@dhulabs.com. If an evaluation fails to complete, its credit is returned automatically. Subscriptions renew monthly until cancelled; cancelling stops future renewals, and access continues until the end of the paid period. If a payment is reversed or disputed, credits or access bought with it may be removed.

7. AI-Generated Results

Evaluations are produced by artificial-intelligence models using a methodology and knowledge base maintained by DHU Labs. They can contain errors, omissions or outdated information, and two evaluations of the same material may differ. Scores and verdicts reflect the methodology's assessment at the time of analysis and may change as AI capabilities evolve. Results are one input among many and are not a substitute for your own research and professional advice.

DHU LABS LLC is not a registered investment adviser, broker-dealer or law firm. Evaluations are not investment, legal or financial advice or guarantees of business outcomes, and nothing in an evaluation is a recommendation to buy, sell or hold any security or to make or decline any investment.

8. Data Processing

Submitted content is processed via the Anthropic Claude API for analysis and is not used for model training. When Confidential Mode is enabled, your content is first processed by the Claude API to replace identifying details, and only the anonymized version is used for the evaluation and stored with your results. 9. Limitation of Liability

To the fullest extent permitted by law: (a) the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and accuracy; (b) DHU LABS LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost investment returns, or losses arising from investment or business decisions, even if advised of their possibility; and (c) DHU LABS LLC's total liability for any claim relating to the Service is limited to the amount you paid for the Service in the 12 months before the claim.

10. Governing Law and Disputes

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Tompkins County, New York, and you consent to their jurisdiction.

11. Changes to Terms

We may update these terms with notice via email or the Service. Continued use after changes constitutes acceptance.
